Referral Partner Agreement

01 The Offer

Growth Catalysts will pay the Partner a referral fee of $250 CAD for each qualifying referral that results in the sale and full completion of an Agency License for the Growth Catalysts Fee Calculator Plugin.

The Agency License is a $2,500 CAD engagement (subject to promotional pricing) that grants unlimited site deployment of the Growth Catalysts Fee Calculator Plugin, priority support, and twelve months of updates.

02 Partner Eligibility

This referral program is offered by invitation only and is limited to professional network contacts of the Agency, including agencies, consultants, designers, developers, and adjacent service providers. The Partner confirms, by signing this Agreement, that they are operating in a professional capacity and not as a consumer or end client.

03 Qualifying Referrals

A referral qualifies for a fee when all of the following conditions are met:

1. The Partner introduces the prospective client to the Agency by email at info@growthcatalysts.ca, with the prospect copied or clearly identified by name, business, and email address.
2. The prospect has not previously been in contact with the Agency within the preceding twelve months, and is not an existing client of the Agency.
3. The introduction is made before the Agency's first contact with the prospect on the subject of the Fee Calculator Plugin.
4. The prospect purchases an Agency License for the Fee Calculator Plugin within ninety (90) days of the introduction.
5. The prospect pays the Agency License in full.

04 Payment Terms

The $250 referral fee is earned and becomes payable only upon full completion and full payment of the referred engagement. Payment will be issued to the Partner within fifteen (15) business days of the engagement's completion date.

Payment will be made by Interac e-Transfer or PayPal, at the Partner's preference, to the email address provided by the Partner. The Partner is solely responsible for reporting referral income to tax authorities and for collecting and remitting applicable GST where registered. Any PayPal fees are deducted from the referral amount.

No referral fee is owed if the engagement is cancelled, refunded, charged back, or not paid in full by the referred client, regardless of cause. No partial fees are paid on partial completions.

05 Exclusions & Limitations

The following do not qualify for a referral fee:

• Referrals that result in a smaller license tier (Single-Site or Multi-Site) rather than the Agency License.
• Self-referrals, or referrals to businesses in which the Partner holds an ownership interest.
• Referrals where the prospect was already in the Agency's sales pipeline, or had been contacted by the Agency in the twelve months preceding the introduction.
• Duplicate referrals of the same prospect by multiple Partners. In such cases, the fee is paid to whichever Partner made the first written introduction.
• Referrals made verbally, informally, or without a clear written introduction to info@growthcatalysts.ca.

06 Partner Conduct

The Partner agrees to represent the Agency and the Fee Calculator Plugin accurately and honestly. The Partner must not make pricing, scope, timing, or outcome representations on behalf of the Agency without prior written authorization. The Partner is not an agent, employee, or legal representative of the Agency, and this Agreement does not create any such relationship.

The Partner must not use spam, unsolicited outreach, misleading claims, or any practice that would harm the reputation of the Agency in making referrals. The Agency reserves the right to decline any referral at its sole discretion, without owing any fee.

07 Confidentiality

The Partner will not disclose any confidential business information shared by the Agency or by referred prospects during the referral process, including pricing structures not publicly advertised, client lists, or internal communications. This obligation survives the termination of this Agreement.

08 Term & Termination

This Agreement takes effect on the date of signing and continues until terminated by either party. Either party may terminate this Agreement at any time by providing written notice. Termination does not affect the obligation to pay any referral fees earned under qualifying referrals submitted prior to the termination date, provided those referrals subsequently meet all qualifying conditions.

09 General Terms

This Agreement is governed by the laws of the Province of Alberta, Canada. Any disputes will be resolved first by good-faith negotiation, and failing that, in the courts of Alberta.

This Agreement constitutes the entire understanding between the parties regarding referrals for the Fee Calculator Plugin and supersedes any prior discussions. Amendments must be made in writing and signed by both parties.

If any clause of this Agreement is found to be unenforceable, the remaining clauses will continue in full effect.
